It really depends on what formats your phone can handle.
I never tried to encode videos for my phone because I don't like watching things from such small screens. But I've done something similiar with my portable video player.
Most of the time I just use virtualdub (a video editing software), or modified versions of it (for RMVB format and stuff) to convert my video files. It's nice since you can cut out parts and shift the audio sync, which might get inaccurate during the converting process.
Anyhow, there are better softwares out there depending on the format you are converting to and from, and without more information, virtualdub is all I can provide.

I can recommend you "ImTOO 3GP Video Encoder" is the best one for me, because that program can convert to 3GP/3GP2/MP4 and also has the ability to convert AMR to MP3, 3GP to WMV/MPEG/DIVX/XVID, and of course it van convert in viceversa WMV/MPEG/DIVX/XVID-> 3GP etc.
another one program is SUPER C, it can convert so many formats, there is a big list of compatible formats with this program
