which is the best avi to mp4 converter (taht also reduce the file size)? i was trying ultra mp4 converter but that doesnt reduce the size at all.

I dunno if it's free (got it from a compuetmagazine) but I think Advanced X Video Converter is good 
mencoder is pretty good - and free, but it may well be Linux-only.

Mencoder is not linux only, luckily. In fact there are GUI interfaces to it for windows.
What you're refering to is known as Transcoding:

VLC is good for simple transcoding: File->Wizard->Transcode/Save to file. Also VirtualDub is good for this, as is avidemux:

For your particular need, i'd suggest VirtualDub. What you need to understand is that AVI and MP4 are simply containers. They only contain video data, they don't really imply that it's compressed or any of that.
In VirtualDub you'll need to open the file, go to the Video menu and set the mode to "Normal recompress". Then go to Video->Compression and select a compression mode/quality. I recommend xvid (XviD MPEG-4 Codec). If it's not there, install the codec:

Select it and click on configure. You can slide the bar between Maximum Quality and Smallest File to change the quality. So do that and then just click ok until you're back at virtual dub's main window. Then you just go File->Save As AVI and save it.

Try Logipole Konvertor (http://www.konvertor.net/indexe.html). That is very good convertor and can convert almost all video, audio and picture formats. As a matter of fact that is the only convertor on my computer. I don't need anything else.
I use VLC, virtualdub, and tmpgenc. All are free and work well for me.
I personally use WinAvi. This will convert just about anything. There is a shareware version but you will get an advertising nag smack db in the middle of your screen after converting.....Make sure if you use this you have the full version to eliminate the nag.
