I use Biolsoft RM to MP3 converter to convert rm files to mp3. Using it you can convert them to either MP3 or WAV format.
Regarding your second question. A plugin known as TARA is available using which you can play .rm files using Winamp but for it to work, RealPlayer has to be installed on your system. Because its just a plugin, it relies on realplayer for decoding the RM files. It can be downloaded from this page http://www.musiclivesonline.com/software/watara.html
